AMENDMENT #4 TO PROJECT MANAGEMENT AGREEMENT The Project Management Agreement (tlie "Agreement") between Marion County, Salem Area Mass Transit District, and ~~1~~~~ Development Company; dated June 1, 1997, as amended by an Addendum to the Project Management Agreement signed by Marion County on January 28, 1998 (the "First Addendum"), as amended by a Second Addendum to Project Management Agreement signed by Marion County on April 15, 1998 (the "Second Addendum"), as amended by Amendment #3 to Contract for Services signed by Ma.rion County on November 4, 1998 (the "Third Addendum"), is amended as follows: Melvin Mark will arrange for Palmer, Groth and Pietka, Iiic. ("PGP") to perform a Highest and Best Use analysis of the north end opportunity site located on the Courthouse Square development block as outlined in the attached letter dated October 4, 1999. Melvin Mark will facilitate the arrangements for PGP to provide the services to the County and the Transit District, but Melvin Mark shall not be responsible for the aGcuracy or conte~ of PGP's analysis or reports. Compensation for these additional services will be billed at ~ ect cost of the work, not to exceed $12,500.00. Meetings (requiring the attendance of any PGP repres a fter the delivery of the Highest and Best Use report will be billed at $150 per hour. County pay for these additional services promptly when due. The e~penses of these services sha11 be reimbursed by Owner but shall not be included in reimbursable expenses for the purpose of calculating the maximum amount of reimbursable expenses as provided in Section 2.1.01 of Eahibit B to the Agreement. All other provisions of the original agreement remain unchanged and in effect. Dated tlus October 15, 1999.
