The parties will not assign or transfer this agreement, nor any interest in this agreement. <br />13. This agreement shall be governed by the laws of the state of Oregon. Any action <br />commenced in connection with ttus agreement shall be commenced in the district or circuit court of <br />Marion County. <br />14. Architect shall maintain at all times commercial general liability a~ g,~and p~Perty <br />damagelautomobile insurance in amounts not less than: $100,000 properiy r claimant, <br />$2p0,000 all other claims per claimant, and $500,000 all claims• Arclutect shall obtain and <br />maintain at all times during the term of ttus agreement, professional liability insurance with limits <br />of not less than $1,000,000 and worker's compensat~on insurance with statutory limits and <br />employer's liability insurance. Architect shall save harmless, indemnify and defend owner from <br />any and all claims, damages, losses, and expenses including but not limited to reasonable <br />attorney's fees arising from or resulting from Arclutect's performance of or failure to perform the <br />obligations of this agreement, to the extent the same are caused by the negligence or mtsconduct of <br />Architect or its employees or agents. <br />15. Architect shall comply with all applicable Federal, State and local laws, rules and <br />regulations, including all applicable provisions of ORS 279.310 through 279.430, which are <br />incorporated herein by ttus reference. <br />16.
