Section 4. Remed~~s <br />4.I Owner. In tl~e event Ov~m~r breaehes any term or pco~-ision of this Agreement, and <br />rogardless of whether the breach oe~uts before or after Optionee notifies Owner of the exercise of the <br />Option~ then Optionee, without limiting its other remedies or any ather relief, shaIl be entitled to <br />speci~cally enforce the tertns of this 4ption and to recover damages on account of Ownec's breach. <br />4.3 Other Remedies. Zhe limitations on remedies set 'forth in this section shall noc <br />preciu~e either par[y from seekin~ or obtaini.ng inJunctive relief or from seeking reco~ery against the <br />other under any contractual indemnity set forth herein or for cansing physical damage ar injury to <br />persons or property. <br />Secliun 5. Closing <br />5.1 Time and Place. Closing of the sale and purchase of the Property (the "Closing") <br />shall occur on a date (the "Closing Date") selecccd by Optionee, bat in all events the Ciosing shall <br />occur within 90 days afut the date that the Exercise Notice is given. The escrow for the Closing shall <br />be established at the office of First American Title Insurance Company of Oregon (the "?itle <br />Company"), at Salem, Oregon. <br />5.2 Closing Obligations- On the Closing Date, Owner nnd Optionee shal! deposit the <br />following documents and funds in escrow, and the Title Company shall close escrow in ac~otdance <br />with the instructions of Owrer and Optionee_ <br />$.2.1 Opuoaee shall deposit the following: <br />(1) A good and suffic~ent watcanty deed, duly executed and acl~owledged; <br />(2) Sueh documents as Owner or the Title Company may require to evidence the <br />authority of Optionee co consummate this tcansaction; and <br />(3) Sach other documents and funds, including (without limitation) escrow instructions, <br />as az~e required of Optionee to close the sale in axordaace with this ASreem~aL <br />5.2.2 Ownar shall deposit the following: <br />(1) The cash payment specified in Section 3; <br />authority of Optionoeto~ onsummata die~transa~ctionec ntemplated;~ad ay require to evidence the <br />(3) Such other documents and funds, including (withoat limitation) escrow instructions, <br />as are requirr.d of Optionee to close the sale and purchase of the Property in accordance with this <br />Agreement. <br />5.3 Costs. Optionx aad Owner each shall pay ono-hatf of the escrow fee of the Title <br />Company wich tespect to the Closin8• ~P~onee shall pay the fee (cxclusive of any conveyance or <br />excise tax) for rec;ording the eoo~yance doeuments referred to h~~. <br />5.4 Prorattoas. All iWns of expense incurred by Owner with respect to the Propecty shall <br />be paid by Owner at Closing, without procsdon. All real prapeltY t~ces and assessments payable with <br />respect to the tax year in which Closing occuts shall be prorated between Owner and Opt~onee as of <br />the Closing Date. <br />. .
