4.3 Financing. The County and Transit District shall each pay their Respective Shares of the ~` Project Costs as and when the same are due and payable in accordance with this Agreement. Payment of each Party's Respective Share of Project Costs shall be made as provided in Sechon 4.5(v) hereof. The Transit District has a grant from the Federal Transit Administrat~on, and locally generated funds, ~ to fund its share of the Project. The County~ was the applicant for a grant from the Federal Transit ~~- Administration, and arranged for locally generated funds, for a portion of the cost of the Project. The County's grant has been transferred to the Transit District by an amendment to the County's grant, ~but the County agrees to pay the local match portion of that grant. In addition, the County ~ agrees to pay the compensation of the Project Manager under the Addendum. to the Project ~} Management Agreement dated January 28, 1998. ~~ 4.4 Review by Project Coordinators. (i) Each party shall designate an individual ("Project Coorciinator") to review and approve matters pertaining to the constcuction of .the Project Improvements and to oversee the work done by the Project Manger; all as provided herem. . (ii) Each Party shall be bound by the consents or appmvals of its Project Coordinator, given in writing. _ - u (iii) Each Project Coordinator shall have authority to act on behalf of its principal in connection with activities described in Secdon 4S. A Project Coordinator shall serve without ~ compensation (except as may be provided by the party's principal) and each party shall engage, at its sole ezpense , any advisors it deems necessary to fulfill the obligations of its Project Coordinator under this Agreemen~. The cost of such advisors shall not be considered Project Costs. - ~ (iv) Except as otherwise ezpressly provided herein, the Project Coordinators shall act by unanimous agreement All actions of the Project Coordinators shall be memorialized in a ~ writing signed by each Project Coordinator approving such aation. All Project Coordinators and their principals shall act in good faith and reasonably in fulfilling their responsibilities. 4.5 Activities of Project Coordinators. (i) Approval of Contracts. The Project Coordinators shall review and approve or disapprove all architectural, design and consulting contracts (including environmental consultants) prior to contract ezecution. All procurement for the Project must comply with Federal Transit Administration Circular 4220.1D, and all contracts and agreements shall incorporate the standard FTA Contract Clauses prepared by the Transit District, ~ (ii) Approval of Project Bndget and Final Constraction Plans and Specifications. The ' Project Coordinators shall review and approve the Final Constcuction Plans and Specifications, ~ the preliminary General Construction Budget and the Additionai Project Cost Budget, if any. The Project Coordinators shall review and approve the Final Constraction Plans and ~1 Specifications, the preliminary General Construction Budget and the preliminary Additional r Project cost Budget according to the following schedute: (1) The .Project Coordinators shall cause the Final Construction Plans and Spec~cations, the preliminary General Construction Budget and the preliminary Additional Project Cost Budget to be prepared and submitted to them. (2) The Project Coordinators shall promptly review the Final Construction Plans and Specifications, the preliminary General Construction Budget and the preliminary Courthouse Square ~ .
