4.3 Financing. The County and Transit District shall each pay their Respective Shares of the <br />~` Project Costs as and when the same are due and payable in accordance with this Agreement. Payment <br />of each Party's Respective Share of Project Costs shall be made as provided in Sechon 4.5(v) hereof. <br />The Transit District has a grant from the Federal Transit Administrat~on, and locally generated funds, <br />~ to fund its share of the Project. The County~ was the applicant for a grant from the Federal Transit <br />~~- Administration, and arranged for locally generated funds, for a portion of the cost of the Project. <br />The County's grant has been transferred to the Transit District by an amendment to the County's <br />grant, ~but the County agrees to pay the local match portion of that grant. In addition, the County <br />~ agrees to pay the compensation of the Project Manager under the Addendum. to the Project <br />~} Management Agreement dated January 28, 1998. <br />~~ 4.4 Review by Project Coordinators. <br />(i) Each party shall designate an individual ("Project Coorciinator") to review and approve <br />matters pertaining to the constcuction of .the Project Improvements and to oversee the work <br />done by the Project Manger; all as provided herem. . <br />(ii) Each Party shall be bound by the consents or appmvals of its Project Coordinator, given <br />in writing. _ - <br />u (iii) Each Project Coordinator shall have authority to act on behalf of its principal in <br />connection with activities described in Secdon 4S. A Project Coordinator shall serve without <br />~ compensation (except as may be provided by the party's principal) and each party shall <br />engage, at its sole ezpense , any advisors it deems necessary to fulfill the obligations of its <br />Project Coordinator under this Agreemen~. The cost of such advisors shall not be considered <br />Project Costs. - <br />~ (iv) Except as otherwise ezpressly provided herein, the Project Coordinators shall act by <br />unanimous agreement All actions of the Project Coordinators shall be memorialized in a <br />~ writing signed by each Project Coordinator approving such aation. All Project Coordinators <br />and their principals shall act in good faith and reasonably in fulfilling their responsibilities. <br />4.5 Activities of Project Coordinators. <br />(i) Approval of Contracts. The Project Coordinators shall review and approve or disapprove <br />all architectural, design and consulting contracts (including environmental consultants) prior <br />to contract ezecution. All procurement for the Project must comply with Federal Transit <br />Administration Circular 4220.1D, and all contracts and agreements shall incorporate the <br />standard FTA Contract Clauses prepared by the Transit District, <br />~ (ii) Approval of Project Bndget and Final Constraction Plans and Specifications. The <br />' Project Coordinators shall review and approve the Final Constcuction Plans and Specifications, <br />~ the preliminary General Construction Budget and the Additionai Project Cost Budget, if any. <br />The Project Coordinators shall review and approve the Final Constraction Plans and <br />~1 Specifications, the preliminary General Construction Budget and the preliminary Additional <br />r Project cost Budget according to the following schedute: <br />(1) The .Project Coordinators shall cause the Final Construction Plans and <br />Spec~cations, the preliminary General Construction Budget and the preliminary <br />Additional Project Cost Budget to be prepared and submitted to them. <br />(2) The Project Coordinators shall promptly review the Final Construction Plans and <br />Specifications, the preliminary General Construction Budget and the preliminary <br />Courthouse Square <br />~ .
