member shall have a right to participate in the Boazd of Directors meetings unless such member is also a <br />member of the Boazd of Directors. The Chair shall have authority to exclude any Association member who <br />disrupts the proceeclings at a meeting of the Board of Directors. <br />~ 13. NOTICE TO ASSOCIA,TION MEMBERS OF BOARD OF DIRECTORS MEETINGS. For other <br />than emergency meetings, notice of Board of Directors meetings shall be posted at a place on the <br />", Condominium property at least three (3) days prior to the meeting or notice shall otherwise be provided to <br />~~ each member of the Associarion reasonably calculated to inform each member of such meetings. The <br />posting of such notices'shall be at a reasonable location which has been generally publicized to the unit <br />owners. <br />~ <br />1 <br />14. TELEPHOrTIC MEETINGS. Regular meetings of the Board may be held telephonically by <br />means of a"conference call" in which each Director may speak~ with any of the other Directors. The <br />Directors shall keep telephone numbers on file with the Chair to be used for telephonic meetings. No <br />nodce to either Directors or Association members shall be reqnired for a telephonic meeting of the Boazd <br />of Directors to be held for any emergency action. However, no such telephonic meeting shall occur unless <br />all members of the Board of Dire~tors participate in the same. <br />ARTICLE V <br />4F'F'ICERS <br />~i' <br />L~+~ <br />1. DESIGNATION. The principal officers of the Association shall be a Chair, a Secretary and a <br />Treasurer, all of whom shall be elected by the Directors. . The Directors may appoint an Assistant Treasurer <br />and an Assistant Secretary, and any such other officers as in their judgment may be necessary. <br />2. ELECTION OF OFFICERS. The officers of the Association may be elected by the Boazd of <br />Directors at the organizational meeting or any board meeting thereafter called for the purpose of election <br />of officers, and shall hold office at the pleasure of the board <br />~ 3. BEMOVAL OF OFFICERS. Upon a vote of the Boazd of Directors, any o~cer may be <br />removed, either with or without cause, and lus successor elected at any regular or special meeting of the <br />Boazd of Directors. <br />4. CHAIR. The Chair shall preside at all meetings of the Association and of the Board of Directors. <br />~~ <br />5. SECRETARY. The Secretary shall keep the minutes of all meetings of the Board of Directors <br />and the minutes of all meetings of the Association; he shall have charge of such books and papers as the <br />Board of Directors may direct; and he shall, in general, perform all the duties incident to the office of <br />Secretary. <br />6. TREASURER. The Treasurer shall have responsibility for Association funds and securities not <br />otherwise held by the managing agent, and shall be responsible for keeping full and accurate accounts of <br />all receipts and disbursements in books belonging to the Association. He shall be responsible for the <br />deposit of all monies and other valuable effects in the name, and to the credit, of the Association in such <br />depositories as may from time to tir~ be designated by the Board of Directors. <br />7. DII~CTORS AS OFFICEI_? S. Any Director may be an officer of the Association. <br />ARTICLE VI <br />OBLIGATIONS OF THE OWNERS <br />_ 1. ASSESSMENTS. All owners aze obligated to pay annual assessments imposed by the <br />~ Association to meet all the Condominium's common expenses, which shall include, without limitarion, <br />_., premiums for insurance required or permitted under Article VIII of these Bylaws.
