All terms 17 used herein and not odierwise defined herein shall have the respective meanings assigned thereto 18 in the Financing and Trust Agreement dated as of December 1, 1998 between Marion County, 19 Oregon (the "County") and the above-named Trustee. 20 21 The undersigned does certify that: 22 2; 1. Prior to the date of issuance of the above-captioned certificates of participation (the 24 "1998 Certificates"), the County incurred and paid various expenditures relating to the Courthouse 25 Square Project (collectively, the "Pre-issuance Expenditures"). All Pre-Issuance Ea:penditures 26 were capital expendimres within the meaning of Regulations Section 1.150-1(b) (that is, 27 expenditures that are properly chargeable to the capital account of the Courthouse Square Project, 28 or that would be so chargeable with either a proper election to do so or the application of the 29 placed-in-service rules under Regulations Section 1.150-2(c)). 30 ;1 2. Pursuant to a resolution adopted by the Board of Commissioners of the_County on 32 ~ 5~ ~(the "Official Intent Declaration"), the County declared its intent to reimburse itself 33 out of the CouRhouse Square Proceeds of the 1998 Certificates for the Pre-issuance Expenditures 34 relating to the Project. In order to conform to the definition of a"reimbursement allocation" 35 contained in Regulations Section 1.I50-2(c), the County is submitting to the Trustee within 30 36 days of [he date of issuance of the 1998 Certificates this requisition for Proceeds of the 1998 37 Certificates to reimburse itself for Pre-issuance Expenditures in the amount of $ 3,9ll,617.56 38 (the "Reimbursed Expenditures"). All such Reimbursed Expenditures were either: 39 40 (i) paid by the County after the date that is 60 days prior to the date of the 41 Official [ntent Declaration; or 42 FINANCING AND TRUST AGREEMENT EXHIBIT A-2
