Oii:5i9i FRI 11:13 F:1S 50~ ~~3 ~606 1iELVIN -SARk CObIPANIES f~j00~ <br />Attachment 2 <br />WALKER DOCUMENT A97.2 <br />GENERAL CONDITIONS OF aGIZEEMENT <br />SERVICES " <br />Walker Parking Consultants/Engineers, Inc_ (WALKER) wilf perform for the CLIENT professional <br />services whieh are limited to the work described in the attached letter. <br />Professional services are provided sol~ly in accordance with written information and documents <br />supplied by the CLIENT, and our services are limited to and furnished solely for ihe specific use <br />disclosed to us in writing by the CLIENT. <br />PAYMENT FOR SERVICES <br />The CLIENT agrees to pay WALKER within thirty (~0) da~~s of receipt of WALKER's invoice for <br />services rendered. <br />~1ALKER typically mails irs invoice on or around the l Oth of the month for services rendered <br />during the priar month. ~e CLIENT understands that WA.I„KER incurs payroll ar~d other related <br />project expenses well in advance of CLIENT payment, and therefore WALKER must fund these <br />obli~ations from its own cash resources. The CI.IENT acknowledges that ( I) the payment terms in <br />this proposal are fair and reasonable, and (2} there is adequate time to process WALKER's invoice <br />for services and deliver payment within thirry (30) days of receipt. <br />If for any reason the CLIENT does not deliver payment to WALKER within thirry (30) days of <br />receipt of invoice, the CLIENT agrees to pay WALKER interest at the rate of prime plus two <br />percent for any unpa.id balance. <br />OwNERSHIP OF DOCUMENTS <br />All dacuments prepared or provided by WAI,KER in any media are and remain the property of <br />WALKER as instruments of service. Any use for modifications or extensions of this work, for new <br />grojects, or for compietion af this project by others without WALICER's specif c written consent <br />will be at CLIENT's sole risk. <br />STANDARD OF CARE <br />WALKER will perform the services called for in the attached letter and this agreement in <br />accordance with generally accepted standards of th~ profession. No other warranry, express or <br />impIied, is made. WALKER's liability to CLIEIv'T and all persons providing work or materials to <br />this project as a result of acts, enors or omissions of WALKER shall be limited to $ I 0,000 in the <br />aggregate. <br />PERIOD OF SERVICE <br />In the event that no construc~ion phase services are to be provided by WALKER, services shal! be <br />complete thz earlier of (I) the date when final documents are aceepted hy the CLIENT or (2) thiny <br />days afrer finai documents are delivered to the CLIENT. If constnietion phase serviees are provided <br />by WALKER, services shall be compiete upon the earlier of (1) the time of appraval by WALKER <br />of final payment to the contractor or (2) thim days afrer completion of the work designed by <br />WALKER. <br />
