INC., a Pennsylvania, corporativn (~~Chevran"~; aud CQUNTY UF MAIt~UN, OREGON, a ("Owner") as fo~lows: RECITALS WHEItEAS; 4wner is the eurrent qwz~e~r of properiy located at 595 Court Str~et, Sa]em, ~regon, pr+e~iously known as Chevran Sta~ion No_ 9-1008 (the "Property"); and WHEREA~; Chevron sold the Property to Owner pursuant to a Purchase and Sale Agreemeut dated Nov~mber 16., 1994 as amended by Amendrne~rat ]Vo. 1 to Purchase and Sale Agree,ment dated August 26, 1997; and WHEREAS; a.n undergrouud waste oil tank allegedly from Chevron's previous opex~tians was discover~d on the Property by Owner subsequent to such sale fo~- which Owner claims t~ have incutred costs ~.ud expcnses associated with its rem.oval; and ~R'HEREAS; a dispute now exists between Owner and Ghevron z~egardin~ Che~vran's obligation to reimburse Owner for such costs and e~cpenses; a.ad WHERF.AS; the parties wish to resolve the dis,pute betwe~n them in an ~mi~able z,va~ner. NOW THEREFURE, in consideration ofthe foregaing, and in consideration o~the 1]111f.1131 ~FOViS14flS Of Lb1S A~*i@P~leIlt, the parties hereto agree as follows: 1_ Settlement Pavment. Chevran agrees to ~ay Owner and Owner agrees to accept the fium df Eleven Thousaud Five Hundred Forly Nine and SO/t0a Dollars ($l t,549.5Q) in. fuIl az~d complete settlement, satisfaction and releaqe Qf any anci $11 clairns pwner ~y have, b:nown~ or unknow~, against Ghevron regarding Chevron's obligation, if any, ta reimburse Owner for costs which it has incurred-associatc~xi. w~it~a t~te ~reuiovai~of said taok. Said payment sha11 be made within fifteen (15) busi.ness days af~er execution and delivery of this t~greement by the parties_ 2_ ~i~nutes. If a dispute ari.ses between the parties relati.ng to this Agreemen#, the parties ~ere~to agree to use the following procedure prior to pursing other le~al remedies: A.
