Marion County treats this <br />engagement letter as Amendment No. 1 to the original contract, to provide arbitrage <br />computations for a two year period from 12/16/98 through 12/16/00. Because the <br />County's financing and trust agreement requires an annual arbitrage calculation be sent <br />to Norwest Bank, we understand that it is appropriate to execute this amendment. We <br />understand that our agreement still includes the contract terms attached to the original <br />contract as Exhibit A.
