CHARTER <br />Courthouse Square Citizen Advisory Committee <br />Issue: The Special Project Oversight Committee (SPOC) for Courthouse Square, <br />established by the Marion County Board of Commissioners and the Board <br />of Directors of Salem Area Mass Transit District, in its final report to the <br />respective Boards, recommended the following: <br />=`The two Boards should establish a new independent citizens <br />committee, perhaps including some members of SPOC, to work with <br />the project team through construction, including review of the budgeted <br />and actual pro formas and" budgets and actual cash flow projections <br />upon completion and occupancy. This committee should have a clear, <br />formal charge, be established with direct links to the boards, should <br />include persons with technical expertise in public construction and <br />finance, and should conduct a continuing review process aimed at <br />making the project credible and its sponsors accountable." <br />Purpose: The Boards concur with the recommendation of the Special Project <br />Oversight Committee and recognize the importance of having ongoing <br />independent advice on technical issues related to the finance, <br />planning, and construction of Courthouse Square. <br />Advisory Committee Established: . <br />There is hereby established a Courthouse Square Citizens <br />Advisory Committee (Committee). The Committee is established as <br />an ad hoc advisory committee with not more than seven members. The <br />members serve at the pleasure of the Board of County Commissioners <br />and the Salem Area Mass Transit District Board of Directors. The <br />initial membership of the Committee shall be composed of two <br />members of the SPOC Committee, appointed by both Boards; one <br />member appointed by each Board; and, three members appointed <br />jointly by both Boards. Committee members appointed by one of the <br />Boards may be removed and replaced by action of the appointing <br />Board. All other Committee members may be removed by the action of <br />either Board, and replaced by the action of both Boards. Each Board <br />shall also designate a Board Member to serve as a Board Liaison to the <br />Committee. The Boards shall jointly designate the Chairperson of the <br />Committee. <br />The Committee and its members shall be subject to the Oregon Public <br />Meetings Law, the Oregon Public Records Law, the Oregon Code of <br />Ethics, the Oregon Conflict of Interest law and (to the same extent as <br />if a Director of the Salem Area Mass Transit District) to the code of <br />~ ethics adopted by the Salem Area l~~Iass Transit District. . <br />Ch2 Citizen Advisory Committee Charter <br />05/O1/98 <br />1 <br />
