Functions of the Committee: The Committee shall consult with and advise the Courthouse Square Development Team (Development Team) and both Boards on matters relating to Courthouse Square Issues. "Courthouse Square Issues" shall mean matters relating to the Courthouse Square project budget, proformas, cash-flow projections, project schedule, value engineering, constructability analysis, and, additionally, any other matters and issues relating to the financing, budgeti.ng, and construction of the Courthouse Square project as may be clearly and explicitly described in writing by both Boards or the Development Team. The Development Team shall keep the Committee informed on matters relating to the Courthouse Square Issues. The Committee shall review, consider and provide advice on Courthouse Square Issues. However, notwithstanding the foregoing, all political and public policy issues and considerations shall remain the exclusive responsibility of the Boards. The Committee shall provide its advice, on matters submitted to it, in writing (Committee meeting minutes shall meet this requirement), which shall be submitted to the Board Liaison of both Boards. On issues for which the Committee and Development Team do not reach agreement, the respective Boards shall give , direction to the Development Team and shall inform the of their action on those issues. The Committee may communicate with the Board Liaisons of both Boards at any time regarding matters relating to the Courthouse Square Issues, and shall make quarterly reports to the respective Boards as to their opinion on the progress of the project. Meetings of the Committee: The Committee shall meet at the call of either Board, the call of the Development Team, or at the call of any three members of the Committee.
