2. Preparation of schematic, design development and constructioc <br />~ documents, in consultation with, and with the input of, Owner <br />Owner's project manager and other consultants. <br />3. Submit to Owner statements of the probable construction cost of tt <br />project as designed, including any changes in cost resulting fro <br />requirements or general market conditions, from time to time ; <br />reasonably necessary to expedite preparation of final constructic <br />documents and estimated GMP. <br />4. Submit to Owner an estimated GMP based upon the fic <br />construction documents, which Owner may use in evaluati <br />feasibility of the project, bids for construction of the project a <br />other information which Owner may acquire to determine the proj~ <br />design and cost. <br />7. Owner agrees to pay Architect on an hourly basis for services provided by chitect under <br />this agreement. Owner and Architect agree that the hourly fees shall be those set forth in Article <br />11.3.1 of Exhibit A. Owner agrees to pay Architect maximum fee <br />not to exceed $ for all work indicated in this agreement. Owner hall reimburse <br />Architect for the reasonable amount of expenses necessarily incurred by chitect in the <br />performance of services under this agreement. <br />9. Unless sooner ternunated by Owner, this agreement shall remain in force for a period of <br />time reasonably required to complete construction documents and to arrive at a inal estimated <br />GMP within Owner's budget. I <br />10. Owner may terminate this agreement at any time by a notice in writing to chitect. If this <br />agreement is terminated, Architect shall deliver to Owner all finished and unfinis ed documents, <br />data, studies, and reports prepared by Architect under and pursuant to this agree ent, and these <br />shall become the property of Owner. Payment shall be made by Owner for all the ork performed <br />before the effective date of such ternunation. Such payment shall be in full settle ent for services <br />rendered under and pursuant to this agreement. <br />11. The parties will not assign or transfer this agreement, nor any interest in thi~ agreement. <br />12. This agreement shall be governed by the laws of the state of Orego '.
