If an appeal is taken from any judgment or decree of the trial cou or arbitration, the <br />losing party shall pay the prevailing party in the appeal its reasonable attorney fees i such appeal. The <br />attorney fees shall be paid in addition to all other sums and costs provided by law. <br />12.9 NO PROVISION <br />12.10 INDEPENDENT CONTRACTOR <br />The Architect is an independent contractor. The Architect is solely responsible for ayment of any and <br />all federal and state taxes and assessments of whatever kind, including but not limite to social security, <br />unemployment compensation, workers' compensation, and taxes, applicable to itse f and its officers, <br />agents and employees. The Architect will obtain and maintain at all times during the t rm of this contract <br />workers' compensation insurance covering its employees and gents while carrying o t duties under this <br />Agreement. <br />12.11 PUBLIC CONTRACT LAWS <br />The Architect agrees to comply with the terms of ORS 279.310 through 279.316 d 279.320, which <br />shall be deemed incorporated herein by reference. <br />12.12. FTA FUNDING <br />This Project is financed, in part, through a grant from the Federal Transit Administ ation to the transit <br />district. The total amount of federal funds to be expended for compensation payab e to the Architect <br />under this Agreement is estimated to be Dollars ($ ), which is % <br />of the total compensation payable. As a consequence of the federal participation in t is Project, federal <br />requirements are applicable to this Project. The federal requirements aze attached as Addendum to this <br />Agreement, and the Architect agrees that, in connection with work on this Project co templated by this <br />Agreement, the Architec[ will comply with the federal requirements in the ddendum. The <br />CERTIFICATION REGARDING LOBBYING must be executed before this Agreem nt is considered a <br />valid and binding agreement. <br />12.13. SAVINGS CLAUSE <br />12.13.1 Should any provision of this Agreement, at any time, be in conflict ith any law, rule, <br />regulation or order, or be unenforceable for any reason, then such provision shall con inue in effect only <br />to the extent that it remains valid.
