In order to execute the development agreement, the parties require additional <br />~,,, information concerning budget and design, which will be forthcoming by the end of <br />September. Therefore, the Director of General Services is asking the Board to consider <br />adopting a resolution approve the development agreement and authorizing him to fill in <br />the numerical data and to execute the agreement on behalf of Marion County once the <br />necessary fiscal and physical information is available. <br />If the Board approves the resolution, its action will approve the basic form of the <br />development agreement, which includes a condominium declaration, condominium bylaws, <br />and ground lease, between Marion County and the Salem Area Mass Transit District. No <br />change can be made in the substance of the agreement without further authorization of the <br />Board. The resolution requires the director to report his actions immediately to the <br />Board. <br />The development agreement commits the county and the district to: <br />Build a joint use office building, joint use hearing room, transit mall, parking <br />garage, and reserve land for commercial retail development; <br />2. Jointly select an architect, general contractor and project manager; <br />3. Jointly approve a design and budget for the project; <br />4. Jointly select a private developer; <br />Jointly oversee construction through a review committee; and <br />6. Manage the completed project as a condominium. <br />The condominium declaration commits the county and the district to: <br />1. Create condominium units for ownership of specific portions of the building, <br />which each would own, including a limited common element parking to be <br />~, associated with each unit; <br />2. Operate a joint use hearing room as a common element of the condominium; <br />3. Operate public parking and the plaza as common elements of the condominium; <br />4. Jointly operate the entire condominium through an association; <br />5. Operate the condominium by unanimous consent of the district and the county <br />appointed directors; <br />~ 6. Offer each other first rights of refusal in the sale or any condominium unit; <br />
