6. VOTING. All action by the owners shall be taken after unanimous vote. The calling and <br />conducting of ineetings of the Association of Unit Owners and the exercise of voting rights shall <br />be controlled by Articles II and III of the Bylaws. If one owner desires to take a particular action <br />and the other owner will not agree, the matter shall be submitted to the dispute resolution process <br />described in Article XVI of the Bylaws. <br />7. USE OF PROPERTY. <br />7.1 General. Each Office Unit is to be used only for governmental office purposes, <br />including without limitation administrative offices, and, with respect to Units owned by the Salem <br />Area Mass Transit District, passenger waiting rooms, ticket sales office, break room and other <br />transit related uses. The Mall Unit is to be used for transit related purposes. The common <br />elements shall be used for the furnishing of services and facilities for the enjoyment of the Unit <br />owners, their employees, invitees, guests and agents. Additional restrictions and regulations are <br />set forth in the Bylaws and rules or regulations adopted pursuant to the provisions of the Bylaws. <br />7.2 Use of Hearing Room. The general common element Hearing Room depicted on the <br />piat shall be used for appropriate governmental hearing and meeting purposes. The parties <br />recognize that it will be necessary to cooperate in scheduling their respective use of the Hearing <br />Room. Additionally, the parties ant~cipate that the Hearing Room will be used by the Unit owners <br />in proportions different from their respective ownership and use of other general common <br />elements. The Units shall be entitled to the use of the Hearing Room in approximately the <br />following proportions: <br />Unit No. PercentaQe <br />1 <br />2 <br />3 <br />7.3 Prohibition Against Mortgages. Anything in the Declaration or Bylaws to the <br />contrary notwithstanding, no Unit owner shall place or suffer to be placed upon such Unit or the <br />common elements any lien, mortgage, trust deed, contract, security interest or other hypothecation <br />or interest of any kind without the unanimous consent of Unit owners. <br />8. BYLAWS• ASSOCIATION• MANAGEMENT <br />8.1 ~doption of Bylaws. In behalf of the Association, the Declarant hereby adopts the <br />Bylaws attached hereto as Exhibit "A" to govern the administration of the Condominium. The <br />Bylaws shall be effective upon the execurion and recording of this Declazation. <br />~. <br />8.2 Association of Unit Owners: Membership. Pursuant to the authority granted in <br />ORS Ch. 190, each owner of a Unit in the Condominium shall be a member of the Association, <br />and membership therein shall be limited to Unit owners only. The Association of Unit Owners, <br />which shall be organized upon the recording of the Declazation and Bylaws, shall serve as a means <br />through which the Unit owners may take act~on with regard to the administration, management and <br />operation of the Condominium. The Association of Unit Owners shall be an unincorporated <br />association, subject in certain respects to Chapter 190 of the Oregon Revised Statutes, unless the <br />Association, upon majority vote, chooses to incorporate under the nonprofit corporation laws of <br />the State of Oregon.
