ARTICLE X <br />CONDEMNATION <br />The Board of Directors shall have the sole authority to <br />negotiate with any public or private body or person having the <br />power of eminent domain and to sue or defend in any litigation <br />involving such bodies or persons with respect to the common <br />elements of the Condominium, and shall assist any unit owner whose <br />unit or a part thereof is the subject of any condemnation or <br />eminent domain proceeding. In the event of a taking or acquisition <br />of part or all of the common elements by a condemning authority the <br />award or proceeds of settlement shall be payable to the <br />Association, or any trustee, for the use and benefit of the unit <br />owners as their interest may appear. The Board of Directors shall <br />distribute the proceeds of any such award or settlement on a <br />reasonable and equitable basis among the unit owners. <br />ARTICLE XI <br />AMENDMENTS TO BYI,AWS <br />These Bylaws may be amended by the Association in a duly <br />constituted meeting called for such purpose, and no amendment shall <br />~ take effect unless approved by all owners. Any amendments adopted <br />hereby shall be reduced in writing, certified by the Chair and <br />Secretary of the Association of Unit Owners to be the amendment so <br />adopted by the Association of Unit Owners, and such amendment so <br />certified shall be recorded in the Deed Records of Marion County, <br />Oregon. ANY AMENDMEN'TS TO THESE BYLAWS MADE WITHIN FIVE (5) YEARS <br />AFTER THESE ORIGINAL BYLAWS WERE RECORDED MUST BE APPROVED BY THE <br />OREGON REAL ESTATE COMMISSIONER PRIOR TO RECORDING. <br />ARTICLE XXI <br />RECORDS AND AUDITS <br />~ l. GENERAL RECORDS. The Board of Directors and the managing <br />agent or manager, if any, shall keep detailed records of the <br />actions of the Board of Directors and the managing agent or <br />manager, minutes of the meetings of the Board of Directors and <br />minutes of the meetings of the Association. The Board of Directors <br />shall maintain a list of owners entitled to vote at meetings of the <br />Association. <br />2. RECORDS OF RECEIPTS AND EXPENDITURES. The Board of <br />Directors or its designee shall keep detailed, accurate records in <br />chronological order of the receipts and expenditures affecting the <br />common elements, itemizing the maintenance and repair expenses of <br />~ BYLAWS OF COURTHOUSE SQUARE CONDOMINIUM <br />PAGE - 20 <br />
