i <br />COURTHOUSE SQUARE <br />Preliminary Intergovemmental Agreement <br />This Preliminary Intergovernmental Agreement is entered into between the Salem Area Mass Transit <br />District ("District") and Marion County ("Counry"). <br />PURPOSE <br />,+ <br />The purpose of this Agreement is to oudine the preliminary urms for joint dcvelopment by the DistriCt <br />and County of the Courthouse Square project. This Agreement shall be the basis for a final intergovernmenral <br />agreement under ORS Chapter 190, ~o be executed upon approval of the final projxt design, approval from the <br />Federal Transit Administradon ("FTA"), and obligation of FTA funding. The parties understand that this <br />Agreement is only a preliminary agreement and is subject to modification as condidons change. <br />PROJECT <br />The Courthouse Square project is incended co develop a permanent downtown transit cenur, a County <br />service cenur, and privau commercial re[aiUoffice space on the Senator Block, which is a downtown block in <br />Salem, Oregon, bordered by Court, Church, Chemekeca and High Strats. The Disuict and the Counry are <br />currently evaluadng a proposal from a private developer to assist in the financing, design and construcdon of <br />Courthouse Square. <br />AGREEMENT <br />To accomplish this joint project, che parcies agree to the following: <br />A. Couirtv Responsibitities. <br />1. The County shall bear principal responsibility to: <br />a. Award and manage the contract with a private developer for the partial financing, <br />design and construcdon of the Courthouse Sqvare. <br />b. Act as paying agent for project related services. <br />2. The County andcipaces conveying ride, a land lease, or air rights relating to County owned land in <br />the Sena[or Block to the District as may be necessary in order for tho District to develop and operate a cransit <br />center and related services. This comeyance is subject to agreement between the parcies on the consideration to <br />be provided. The comeyance shall occur after the parties secure a signed development agreeme~ with the <br />privace developer, secure all federal approvals, and the parties execuce a final intergovernmental agreement. <br />3. The County, under it's own auchority, will clear unancs and occupants from it's buildings, and <br />make such buildings ready for demolidon according to time lines established for construction of the project. To <br />the eztent required by applicable law, the Councy will comply with the provisions of the Uniform Relocadon <br />Assistance and Real Properry Acquisidon Policies Act of 1970, 42 USC §4601 et seq. <br />~ <br />Page 1- INTERGOVERNMENTAL AGREEMENT; Courthouse Square <br />
