~ (d) fourth, to the payment to the Owners of the Outstanding ertificates of all <br />unpaid interest accruing on the principal components of the Fin cing Payments, <br />; ratably without preference or priority of any kind, according to the ounts of unpaid <br />4 interest accruing on the principal components evidenced by ~he Outstanding <br />5 Certificates; and ', <br />6 ~ <br />~ (e) fifth, the balance, if any, remaining after payment in ful of the amounts <br />8 described in (4)(a), (b), (c), and (d) above shall be remitted by t e Trustee to the <br />9 County; and ~,I <br />10 <br />11 (5) neither the Trustee, the Owners of the Certificates, any Credit rovider nor any <br />12 other person shall have any further recourse whatsoever against the County r be entitled to <br />13 institute or maintain any action or proceeding to compel the County, and he County shall <br />14 have no obligation whatsoever, to pay any Financing Payments (other t n Appropriated <br />15 Financing Payments). I, <br />16 <br />17 In connection with the foregoing, the Trustee shall: ' <br />18 '' <br />~ 9 (i) retain a Rebate Analyst for the purpose causing such Rebate A}nalyst to prepare <br />2p a final Rebate Report be prepared with respect to the Certificates; and ~, <br />21 I <br />22 (ii) to the extent necessary, apply all moneys then on deposit in th~ Rebate Fund to <br />~,3 the payment of any Rebate Amount shown in such final Rebate Report; a d <br />24 I <br />25 (iii) to the extent the moneys then on deposit in the Rebate Fund ~re insufficient to <br />26 pay in full the Rebate Amount shown in such final Rebate Report, apply, i accordance with <br />2~ the priorities set forth in Section 202(C)(5)(b) above, proceeds derived fro any enforcement <br />2g action taken pursuant to Section 202(C)(4) above to the payment of the bal ce of the Rebate <br />29 Amount shown in such final Rebate Report. ', <br />3~ Whenever moneys are to be applied pursuant to this Section 202(C), sucl~ moneys shall be <br />32 applied at such times, and from time to time, as the Trustee shall determme, havin due regard to the <br />33 amount of such moneys available for application, the likelihood of additional oneys becoming <br />34 available for such application in the future and potential expenses relating to t e exercise of any <br />35 remedy or right conferred on the Trustee by the Agreement. Whenever the Truste shall apply such <br />36 moneys, it shall fix the date upon which such application is to be made, and upon uch date interest <br />37 on the amounts of principal to be paid on such date shall cease to accrue. The Trus ee shall give such <br />38 notice as it may deem appropriate of the deposit with it of any such moneys and o the fixing of any <br />39 such date, and (except as may be otherwise required with respect to Certificates su ject to the Book- <br />4o Entry System) shall not be required to make payment to the holder of any Ce ificate until such <br />41 Certificate shall be presented to the Trustee for appropriate endorsement or for c ncellation if fully <br />42 paid. , <br />43 II <br />~ ~ PAGE 7 <br />FINANCING AND TRUST AGREEMENT 'i <br />
