; 1 SECTION 304. NO PERSONAL LIABILITY. The County's Agents, inclu ing any person <br />~ executing the Agreement or the Certificates, shall not be liable personally on the Certificates or <br />3 subject to any personal liability for any reason relating to the issuance of the Ce ificates or the <br />4 performance of any obligations under or with respect to the Agreement or this Agr ement. <br />5 <br />6 SECTION 305. COUNTY'S REPRESENTATIONS. The County represents ~nd warrants as <br />7 follows: ~ <br />8 <br />q (a) The County is political subdivision and a body politic and corpo ~ te duly created <br />10 and existing under the laws and the Constitution of the State of Oregon. The County is <br />11 authorized by the provisions of the Act to enter into this Agreement, ause the 1998 <br />12 Certificates to be executed and delivered as provided herein, to pledge the C unty's interests <br />13 in the Security as security for the payment of the payment and performance f its obligations <br />14 under this Agreement, and to perform its obligations hereunder. ~I <br />15 <br />16 (b) The execution, delivery and performance by the County of this greement have <br />1 ~ been duly authorized by all necessary County action, require no action by or~ in respect of, or <br />1 g filing with any governmental body, agency or official not heretofore duly ob ained and in full <br />;~ force and effect (other than any filings, approvals or other action that may b required under <br />20 applicable state or federal securities laws with respect to the issuance and sale of the 1998 <br />21 Certificates, as to which the County makes no warranty or representat on) and do not <br />22 contravene, or constitute a default under, any provision of applicable law o regulation or of <br />~3 any agreement, judgment, injunction, order, decree or other instrument inding upon the <br />24 County, and do not and will not result in the creation or imposition of any ien on any asset <br />25 of the County other than the lien on the Security created by this Agreeme~t in favor of the <br />26 Trustee. I <br />~~ (c) There is no action, suit or proceeding pending, or to the knowle Ige of the County <br />'L 2S <br />29 threatened, against or affecting the County before any court or arbitrator or y governmental <br />3o body, agency or official in which there is a reasonable possibility of an ~dverse decision <br />31 which would in any way adversely affect the validity or enforceability of his Agreement. <br />32 <br />33 SECTION 306. INSURANCE. , <br />34 <br />35 (A~ INSURANCE DURING CONSTRUCTION.
