~' 1 "RATING AGE1vcY" means any of the following firms if the County has req <br />~~ to assign a rating to any of the Certificates: Moody's, S&P or any other national <br />3 <br />such firm <br />agency. <br />4 "REBATE AIVIOUNT" shall mean, with respect to a particular series of Cert ficates, the sum <br />5 of the Excess Earnings plus all investment earnings on such Excess Earnings; it b ing the intent of <br />6 this definition that the Rebate Amount shall be calculated in accordance with the requirements of <br />7 Section 148 of the Code (or any successor thereto). <br />8 <br />9 "REBATE ANALYST" shall mean any entity selected by the Coun or, under the <br />1 o circumstances described in the Agreement, by the Trustee, which entity is compete t to perform the <br />11 calculations required to determine the Rebate Amount. <br />12 <br />13 "RESATE FuNn" means the fund established pursuant to Section 401 of the Agreement and <br />14 which shall be entitled "Marion County Rebate Fund - Courthouse Square Projec '. <br />15 <br />16 "REBATE PAYMENT" shall mean the amounts required to be deposited fr m time to time <br />17 in the Rebate Fund pursuant to Section 404 of the Agreement. <br />18 <br />19 "REBATE REPORT" shall mean a report for each Calculation Period prep ed by a Rebate <br />2o Analyst calculating the Rebate Amount, all for the purpose of enabling the County to comply with <br />21 the requirements of Section 148 of the Code (or any successor thereto). <br />22 <br />~±3 "RECOItn DATE" means the fifteenth day of the month next preceding a Ce ificate Payment <br />24 Date; provided that for a particular series of Additional Certificates the term "Recor Date" may be <br />25 assigned such other meaning as may be provided in the Supplemental Agreement a thorizing such <br />26 series of Additional Certificates. <br />27 <br />28 "REFUNDING CERTIFICATES" shall have the meaning assigned thereto in Se tion 208(A)(2) <br />29 of the Agreement. <br />30 <br />31 "REIMBURSEMENT REQUISITION CERTIFICATE" means a certificate in the orm of Exhibit <br />32 A-2 to the Agreement. <br />33 <br />34 "S&P" shall mean Standard & Poor's Corporation, a corporation organiz d and existing <br />35 under the laws of the State of New York, its successors and assigns. <br />36 <br />37 "SECURITY" means the properties, assets, moneys and rights and interests erein pledged <br />38 in Section 209(A) of the Agreement together with the rights and interests of the T stee under the <br />39 Mortgage. <br />40 <br />41 "SECURITIES DEPOSITORY" shall mean, initially, DTC, and its successors d replacement <br />42 securities depository appointed under the Agreement. <br />DEFINITIONS APPENDIX I PAGE 12 <br />
