All terms used <br />herein and not otherwise defined herein shall have the respective meanings assig d thereto in the <br />Financing and Trust Agreement dated as of December 1, 1998 between Marion Co ty, Oregon (the <br />"County") and the above-named Trustee. , <br />The undersigned does certify that: <br />1. Prior to the date of issuance of the above-captioned certificates of partici ation (the " 1998 <br />Certificates"), the County incurred and paid various expenditures relating to the C urthouse Square <br />Project (collectively, the "Pre-issuance Expenditures"). All Pre-Issuance Expendit res were capital <br />expenditures within the meaning of Regulations Section 1.150-1(b) (that is, exp nditures that are <br />properly chargeable to the capital account of the Courthouse Square Project, or hat would be so <br />chargeable with either a proper election to do so or the application of the place -in-service rules <br />under Regulations Section 1.150-2(c)). I~ <br />2. Pursuant to a resolution adopted by the Board of Commissioners o the County on <br />(the "Official Intent Declaration"), the County declared its intent t reimburse itself <br />out of the Courthouse Square Proceeds of the 1998 Certificates for the Pre-issu ce Expenditures <br />relating to the Project. In order to conform to the definition of a"reimburse ent allocation" <br />contained in Regulations Section 1.150-2(c), the County is submitting to the Trust e within 30 days <br />of the date of issuance of the 1998 Certificates this requisition for Proceeds of the 998 Certificates <br />to reimburse itself for Pre-issuance Expenditures in the amount of $ ~the "Reimbursed <br />Expenditures").
