All terms <br />used in this Certificate and not otherwise expressly defined herein shall have the respective meanings <br />assigned thereto in the Agreement. <br />This Certificate is one of the duly authorized Certificates of Participation (Courthouse Square <br />Project), 1998 Series A(the "1998 Certificates") aggregating $22,000,000.00 principal amount, executed <br />pursuant to the terms of the Agreement. The Certificates evidence and represent fractional undivided <br />interesu in the 1998 Financing Payments payable by the County under the Agreement. Subject to the <br />terms of the Agreement and any right of prepayment provided for in the Agreement, the Registered Owner <br />of this Certificate is entided to receive: (1) on the Payment Date set foRh above, upon surrender of this <br />Certificate at the Corporate Trust Office ofthe Trustee, the Principal Amount specified above, representing <br />the Registered Owner's fractional undivided shaze ofthe 1998 Financing Payments designated as principal <br />components coming due on the Payment Date; and (2) on each June 1 and December 1 of each year, <br />commencing with June 1, 1999, interest on said Principal Amount at the Interest Rate per annum set forth <br />above, representing the Registered Owner's fractional undivided share of the <br />By: <br />1998 Financing Payments designated as interest components coming due on such June 1 and December <br />1.
