The words and phrases used in this Certificate have the same meanings as d~fined and used in the Code and Regulations. I ~B~ RESPONSIBLE OFFICER. The undersigned is an officer of the Coun~y who is charged, with others, with responsibility for issuing the Certificates. ~ (C) REASONABLE EXPECTATIONS. This Certificate is executed for t e purpose, among others, of establishing the reasonable expectations of the County regarding the se and application of the Proceeds of the Certificates (i.e., the Sale Proceeds and the Investmen Proceeds) and all other Gross Proceeds of the Certificates, all as defined in Regulations § 1.14 -1(b). (D) BASIS FOR CERTIFICATE. This Certificate is based on fac s, estimates, and circumstances in existence on the date of this Certificate, which is the d e of issue of the Certificates, and to the best knowledge, information, and belief of the, undersigned, the expectations set forth in this Certificate are reasonable. '~, SECTION 402. PURPOSE OF CERTIFICATES; CAPITAL EXPENDITURE . The Certificates are being issued for the purpose of financing of the Courthouse Square Proj ct. The County's Share of the costs of the Courthouse Square Project to be financed out of t e Proceeds of the Certificates will constitute "capital expenditures" within the meaning of Treas. egs. § 1.150-1(b). SECTION 403. NOT PRNATE ACTIVITY BONDS; PRIVATE USE PORTIO OF THE COUNTY ~ FACILITIES. The County hereby covenants and agrees that it will take all actions which are necessary or appropriate in order to ensure that the proceeds of the Certificate and the County's interest in the Courthouse Square Project are not used in any manner or by an person such that the Certificates will be or become "private activity bonds" within the meaning of Section 141 of the Code. The County hereby represents and warrants that no part of the Cou y's portion of the Courthouse Square Project will be used by any person other than a"govermm ~tal unit" (within the meaning of Section 141(b)(6)(A)). ', A portion of the County Facilities will be leased by the County to persc}ns or entities who are not state or local governments or organizations described in Code Section 501(c)(3) that are exempt from federal income taYation pursuant to Code Section 501(a) (such por~ion of the County Facilities being herein called the "Private Use Portion"). The balance of the Co~nty Facilities will be owned and occupied by the County and used by the County in its gover~ental operations (herein called the "County Use Portion").
