We have purchased on the date hereof the $22,000,000.00 aggregate rincipal amount of Marion County, Oregon, Certificates of Participation (Courthouse quare Project), 1998 Series A (the "Certificates"). 2. We hereby acknowledge receipt of the Certificates in the aggregate rincipal amount of $22,000,000.00, which Certificates are in satisfactory form and conform in 11 respects to the ~ requirements set forth in the Certificate Purchase Agreement pursuant to the derwriters have purchased the Certificates. 3.
