~ Any prepayment in the event of damage, destruction or condemnation shall (i) take place on the earliest date for which <br />the requisite notice of prepayment can be given; (ii) be in an amount equal to the Net Proceeds realized by the County <br />from any insurance or from a condemnation award paid in respect of such damage, destruction or condemnation of the <br />County's share of the Project, but rounded down to the nearest inte~ral multiple of $5.000; and (iii) be at a prepayment <br />price equal to 100% of the principal components to be prepaid plus accrued and unpaid interest thereon to the date fixed <br />for prepayment. <br />In the case of any prepayment in part in the event of damage, destruction or condemnation, the County shall have the <br />right to select the maturities of the 1998 Certificates to be so prepaid and the principal amount to be prepaid within each <br />such maturity selected by the County. See Appendix A: "Summary Of Certau- Provisions Of The Financing And Trust <br />Agreement." <br />Prepayment from Surplus Proceeds. <br />Upon receipt by the Trustee of a Completion Certificate from the County, any moneys remaining on deposit in the <br />Project Fund (less any amount which the County instructs the Trustee to retain in the Project Fund for the purpose of <br />paying any portion of the County's Share to be paid at a later time) aze required by the Agreement to be transferred to <br />the 1998 Debt Service Account of the Certificate Payment Fund to be applied as follows: <br />(1) first, an amount equal to the aggregate amount to be so transferred to the 1998 Debt Service <br />Account, but rounded down to the nearest integral multiple of $5,000, shall be applied to the prepayment of <br />the principal components of the 1998 Certificates, and <br />(2) the balance (if any) shall be applied as a credit against the Financing Payments next coming due. <br />The Agreement provides that the principal components evidenced by the 1998 Certificates are subject to prepayment <br />~ prior to their stated due dates, in whole or in part, from moneys transferred pursuant to the Agreement from the Project <br />Fund to the 1998 Debt Service Account of the Certificate Payment Fund, any such prepayment to take place on the next <br />Interest Payment Date for which the requisite notice of prepayment can be given and to be at a prepayment price equal <br />to the amount of the principal components to be so prepaid plus accrued and unpaid interest thereon to the date fixed for <br />prepayment. In the case of any prepayment in part pursuant to the Agreement, the County shall have the right to select <br />the maturities of the 1998 Certificates to be so prepaid and the principal amount to be prepaid within each such maturiry <br />selected by the Counry. <br />Notice of Call for Prepayment <br />Notice of the call for prepayment of any 1998 Certificates, which shall identify the 1998 Certificates to be prepaid, shall <br />be given by the Trustee in the name and on behalf of the County not less than 30 nor more than 45 days prior to the date <br />fixed for the prepayment by mailing such notice, postage prepaid, to the Owners of the 1998 Certificates to be prepaid <br />at the addresses of such Owners as shown on the registration books maintained by the Trustee as of the date of mailing <br />of such notice. <br />A copy of any notice of prepayment shall be sent by the Trustee to the County, S&P (if then rating the Certificates <br />being prepaid), Moody's (if then rating the Certificates being prepaid) and the Insurer. <br />Notwithstanding the foregoing, so long as the Book Entry System is maintained in effect with respect to the 1998 <br />Certificates, notice of prepayment of the 1998 Certificates shall be given at the time, to the entiry and in the manner <br />required by DTC, and the Trustee shall not be required to give any other notice of prepayment otherwise required <br />herein. <br />In addition to notice of prepayment as provided above, the Trustee shall also give notice of any prepayment of 1998 <br />~ Certificates by fvst-class mail, postage prepaid, confirmed facsimile transmission, or overnight delivery service, to <br />certain securities depositories and information services, as described in the Agreement. <br />14 <br />
