~ Notwithstanding anything expressed or implied herein or in any Supplemental A~~reement <br />3 to the contrar}~, except as otherwise expressly provided in a Supplemental Agreement, each Credit <br />3 Facility given as security far some, but less than all, Outstanding Gertificates and an~~ moneys drawn <br />a or paid under such Credit Facility shall secure only~ those Certificates for w~hich such Credit Facility <br />5 was given as security. In connection with any Credit Agreement pursuant to which a Credit Facility <br />6 is provided as security for all or some of the Outstanding Certificates, the County may provide in <br />7 a Supplemental Agreement that the financial obli~ations arising under such Credit Agreement shall <br />8 be payable from and secured by the lien of the Security on an equal and ratable (p~rr•i pussti) basis <br />9 with all Outstanding Certificates, to the same e~tent and with the same force and effect as if the <br />t0 financial obligations under such Credit Agreement were an Outstanding Certificate. <br />-~ <br />l2 (B) FuR7'HER ASSURANCES. The County shall cooperate to the eYtent necessary with the <br />13 County and the Trustee in their defense of the Security against the claims and demands of any <br />I4 person, and will do. execute, acknowledge and deliver or cause to be done, such further acts, <br />I 5 instruments and transfers as the Trustee may reasonably require for the better granting and pledging <br />~6 of the Security or any part thereof, including without limitation, execution and delivery of any <br />~ 7 financing statements and continuation statements. <br />l8 <br />t9 (C) NO OTHER ENCUMBRANCES. Except as provided herein, the County shall not sell, <br />2o convey, mortgage, encumber or otherwise dispose of the Security or any part thereof while any <br />2 ~ Certificates secured thereby remain Outstanding. <br />~~ <br />23 (D) THE MoR7'GAGE. Concurrently with the execution and delivery of the 1998 Certificates, <br />24 the County shall execute and deliver to the Trustee the ~e-Mortgage. Concurrently with: (i) the <br />25 County's condominium interests in the Courthouse Square Project coming into legal existence by <br />26 virtue of the 'filing of the Condominium Delcaration with respect to the Courthouse Square Project, <br />27 and (ii) the conveyance to the County of its condominium units in the Courthouse Square Project= <br />~g <br />29 the County shall execute and deliver to the Trustee the ~'~~~'~m~~~~~~~ Mortgage <br />_ ___ ___ ___. <br />3o Amendment, which Ee~e~ Mortgage Ar~zendrrzent shall be promptly recorded by the <br />3 I Trustee in the real estate records for Marion County.
