~ SECTION 30=t. NO PERSON.4L LIABILITI'. The County's Agents. includin`~ any person <br />? executin~ the Agreement or the Certificates. shall not be liable personally on the Certiticates or <br />3 subject to any personal liability for any~ reason relating to the issuance of the Certificates or the <br />4 performance of any obligations under or ~vith respect to the Agreement or this Agreement. <br />5 <br />6 SECTION 30~. COUNT~''S REPRESENTATIONS. The County represents and warrants as <br />7 follows: <br />8 <br />9 (a) The County is political subdivision and a body politic and corporate duly created <br />~0 and e~:isting under the laws and the Constitution of the State of Oregon. The County is <br />- ~ authorized by the provisions of the Act to enter into this Agreement, cause the 1998 <br />~ 2 Certificates to be executed and delivered as provided herein, to pledge the County's interests <br />l3 in the Security as security for the payment of the payment and performance of its obligations <br />~4 under this Agreement, and to perform its obligations hereunder. <br />1~ <br />i 6 (b) The execution, delivery and performance by the County of this Agreement have <br />17 been duly authorized by all necessary County action, require no action by or in respect of. <br />l 8 or filing with any governmental body, agency or official not heretofore duly obtained and in <br />~ 9 full force and effect (other than any filings, approvals or other action that may be required <br />3o under applicable state or federal securities laws with respect to the issuance and sale of the <br />~ l 1998 Certificates, as to which the County makes no warranty or representation) and do not <br />?2 contravene, or constitute a default under, any provision of applicable law or regulation or of <br />?3 any agreement, judgment, injunction, order, decree or other instrument binding upon the <br />2~ Count~~, and do not and will not result in the creation or imposition of any lien on any asset <br />?5 of the County other than the lien on the Security created by this Agreement in favor of the <br />26 Trustee. <br />~~ <br />28 (c) There is no action, suit or proceeding pending, or to the knowledge of the County <br />29 threatened, against or affecting the County before any court or arbitratar or any governmental <br />3o body, agency or official in which there is a reasonable possibility of an adverse decision <br />3l which would in any way adversely affect the validity or enforceability of this Agreement. <br />32 <br />33 SECTION 306. INSURANCE. <br />34 <br />;5 (A) INSURANCE DURING CONSTRUCTION. During the construction of the Courthouse <br />36 Square Project, the County will cause the general contractor responsible for the construction of the <br />37 Courthouse Square Project to carry "builder's all-risk" casualty insurance on the Courthouse Square <br />38 Project in an amount equal to the full replacement value of the Courthouse Square Project <br />39 improvements. ~ <br />40 <br />4t (B) INSUR.~NCE Fo~~o~v~NG CoMP~ET~oN.
