~ to the underwriters or other purchasers of the Certificates (other than original issue discotint) <br />2 incurred in the issuance and sale of the Certificates. <br />3 <br />4 "COUNSEL" means an attorney at law (who may be counsel to or of the Trustee or the <br />5 County) satisfactory to the County when acting for the County, and satisfactory to the Trustee <br />6 when acting for the Trustee. <br />7 <br />8 "Cou~tTti'" means Marion County, a political subdivision created and existing under ~the laws <br />9 of the State of Oregon. <br />10 <br />11 "COUNTt''S ADDRESS" means Marion County, , <br />~2 Salem, OR , Attention: <br />13 <br />l~ "Co<<NTV's AGEtvTS" means any elected or appointed official, director, member, officer, <br />i 5 employee, representative or agent of the County. <br />-6 <br />l7 "COU~vTV F.aCt~tT~ES" means that portion of the buildings and improvements constitutinb <br />is the Courthouse Square project that are owned by the County pursuant to its condominium interest <br />~9 in the Courthouse Square project. <br />20 <br />2l "Co~~nTY'S SHARE" means all or any portion of the County's share of the costs of <br />22 acquiring, constructing, installing, equipping, expanding or improving the Courthouse Square <br />?3 Project, including but not limited to: <br />~q <br />25 (a) obligations of the County incurred for labor and to contractors, builders and <br />26 materialmen in connection with the acquisition, construction and installation of the <br />?7 Courthouse Square Project; <br />~g <br />3~ (b) the cost of contract bonds and of insurance of all kinds that may be required <br />30 or necessary during the course of construction of the Courthouse Square Project which is <br />;~ not paid by the contractor or otherwise provided for; <br />33 <br />;; (c) all costs of engineering services, including test borings, surveys, estimates, <br />;4 plans and specifications and preliminary investigations, and supervising construction, as <br />;5 well as for the performance of all other duties required by or consequent upon the proper <br />36 construction of the Courthouse Square Project; <br />37 <br />;s (d) Costs of Issuance; <br />39 <br />40 (e) all other costs which County shall be required to pay, under the terms of any <br />4 ~ contract or contracts, for the acquisition, construction and installation of the Courthouse <br />4?
