I included a clause at the end referencing the FTA Contract Requirements.
IV. Section 3.2.
I changed "building" to "Project". This seemed to make more sense.
V. Section 4.4.
I changed the language as you requested.
VI. Section 6.
This was e~ensively changed as noted above. Your recommendations were
incorporated.
,
VII. Section 7.2.
I added a clause: ",the General Contractor, or the Architect, as the case may be."
My intent was to point out that a party other than the Owner may be responsible for the
expenses incurred with actions taken to address violations of Applicable Law. I don't
know if this gets at your comment or not. Please consider this item.
VIII. Section 7.4.
I deleted references to income taxes.
IX. Section 8
I adopted your suggested insurance language. I changed "damage or injuries to
orperty or person" to "for loss or injury". I think this will cover economic loss and any
other kind of loss.
X. Section 10.
I added language concerning a change in the form or ownership or sale of the
business. This language is of my own invention. Check it carefully.
I addressed key personnel by adding a new paragraph to new section 4.3,
Employees.
XI. New Section 12.4, Arbitration.
I added this per your request. Same language as Architect Contract.
XII. Termination if Project Cannot Proceed.
