Exhibits A and B--Condominium Declaration and Bvlaws <br />Marion County and the Transit District will own the project as a condominium. The <br />owner of a condominium unit may lease, sell or encumber that unit. <br />The units of the conominium will be: <br />*County Office Unit (101,722 square feet) <br />*Transit Office Unit (25,548 square feet) <br />*Joint Hearing Room (4,760 square feet) <br />* Transit Mall Unit (66, 824 square feet) <br />*County Parking Unit (218 spaces) <br />*Transit Parking Unit (40 spaces) <br />The units will be located on a portion of the Senator Block, which is owned by the county and <br />transit. The condominium will not include that portion of the Senator Block set aside for the <br />private development. Nor will the condominium include streetscape improvements located within <br />public right-of-way. <br />Each unit will own an undivided interest in the common elements. The common elements <br />include those items necessary for the use and enjoyment of each unit, such as stairs, elevators, <br />structural components, HVAC, ducts, lobbies, hallways, the plaza, etc. <br />Each unit will share in the cost of maintenance, repair and replacement of the common <br />elements as follows: <br />*Office Units will share in the cost of all common elements, except as assigned specifically to <br />another unit. Transit's share is $20.07%. County's share is 79.93%. Shares based on square <br />feet of useable space. Such expenses will include general administrative expenses, operational <br />expenses and the cost of insurance. <br />*Hearing Room Unit owners will share costs of the Hearing Room 50-50. No other common <br />element costs are assigned to this unit. <br />*Mall Unit owner will pay full costs for that unit, including normal wear and tear to the structural <br />slab supporting the unit. Structural repairs to the slab will be shared 50-50 with the Parking <br />Units. <br />*Parking Unit owners will pay the costs for maintenance of the ramps and driveways associated <br />with the parking garage. Transit's share is 15.5%. County's share is 84.5%. Shares based on <br />number of parking spaces. Maintenance includes normal wear and tear to the structual slab <br />serving as the ceiling for the parking garage. Parking Unit owners will share 50% of the cost <br />for structural repairs to the slab. <br />Each unit owner may vote according to its share of the common elements. So long as the <br />county and the district are the sole unit owners, all decisions will be made by unanimous vote. If <br />any unit is owned by a third party, decisions will be made by 75% majority. This protects the <br />controlling interest of the public paRies in the project. <br />
