These activities will occur between April, 1998 and 7une, <br />2001. <br />Exhibit F--Continuing Partv Ground Lease <br />This lease will come into play only if either the county or the district terminates the <br />agreement because the conditions precedent cannot be satisfied. In that event either party has 90 <br />days to exercise the option of leasing the entire Senator Block from the two real property owners <br />for a term of 75 years. <br />The lease will include the preliminary plan for a project, which can include government or <br />private offices, retail stores, professional offices, hotels, residential uses, and transit related uses. <br />The leasee will have one year to commence construction of the project, and 1 S months to <br />complete the project. No rent will be paid for the ground until the project is completed. <br />Thereafter, rent will be paid at the fair market value on the land. <br />The leasee can mortgage its interest as leasee for purposes of financing the project. The <br />leasee can also assign or sell its interest in the project once it is done. Before that time, the leasee <br />can sublet all or part of its interest. This allows the leasee to undertake a joint development or to <br />rent space. <br />The leasee will be full and solely responsible for taxes, assessments, liability insurance, and <br />other expenses incident to control of the land. The landlord has not duties and will be fully <br />indemnified. <br />Upon termination of the lease the improvements belong to the lessor. <br />Exhibit G--FTA Contract Clauses <br />Because the county and the district are involved in a joint project funded in part by an <br />FTA grant, these clauses are added as a condition of the grant. <br />chsq:devagree.sum <br />
