f <br />~__~ 5. AUTH RIT'Y TO VO . All owners shall be entitled to vote, including those who have leased <br />their premises to a third party. An owner's right to vote may not be revoked. <br />i 6. REPRESENTATIVR~, Each owner that is a governmental entity shall designate at least one (1) <br />~~ official representative and such alternates in descendin order of <br />. g their rank, as it sees fit who shall have <br />authority to cast votes on behalf of such govemmental owner's unit(s) for all purposes reguding the <br />Association. Designation of such representative and altemates shall be made by formai resolution of the <br />~~ governing body of the governmental owner. Whenever two or more persons are designated to cast votes for <br />a govemmental owner, the vote of such unit shall be ~exercised only by the designee then present with the <br />_ highest d~signated rank. <br />~ <br />_.~ 7. ACTIONS BY A~Snc~ra~rrnrT~ L. AL, MEETIN 7. Decisions and iesolutions of the <br />Association shall require approval by all owners and shall be takea only at a legal meeting. A legal meeting <br />is one duly called pursuant to these Bylaws where a quorum is presen~ If the owners do not agree a <br />~j particulaz action is necessary, the matter may be submitted by any owner to the resolntion process described <br />in these Bylaws. <br />ARTICLE III <br />AL)~STRATION <br />1. ASSOCIATION RESPON IBIL-TTIES. The owners of the units wili constitute the Association of <br />Unit Owners ("Association'~, which will have the responsibility of administering the project, approving the <br />annual budget (and any adjustments or revisions thereto), establishing and collecting quarterly assessments <br />and arranging for the operation, management and maintenance of the Condominium, including negotiating <br />and contracting with and supervising any person, persons or business entity with respect to such matters. <br />The Association of Unit Owners shall be an unincorporated association, unless the unit owners elect to <br />incorporate under the nonprofit corporation laws of the State of Oregon. <br />2. P~ACE OF .F'iTNr. /OP •N MEETIl~T * T. s~S, Formal meetings of the Association shall be <br />held at such place as is agc+eed npon from time to time by authority of the owners. ~ <br />! 3. T[JRNOVER MEETIN t. The tumover meeting (which shall constitnte the initial organizational <br />; meeting) shall be held not later than thirty (30) days following the recordation of the Declaration. The <br />turnover meeting shall be called by notice to all unit owners of the time, place and purpose thereof not less <br />than seven (7) nor more than twenty (20) days before the meeting. ff such meeting is not called by the <br />~ Declarant within the time specified, any unit owner may call a meeting and give the above-referenced <br />~ notice. <br />~ At the turnover meeting, the Declarant shall relinquish control of the administration of the Association, _ <br />~~ ..the unit owners ~all assume such control and the wut owners shall elect a boazd of directors in accordance <br />with the provisions of Article IV of these Bylaws. Additionally, the Deciaranf shall deliver to the <br />Association those items specified in the pregon Condominium Act to be hnned over by the Declarant at the <br />~.~ turnover.meeting. <br />~ <br />4. ANNiJAi. ME~TINCS; The {~t ~~ ~~g of the Association shall be held not later than <br />the end of the calendar year following the calendar year in wlrich the turnover meeting is held and shall be <br />~~ set by action of the Board of Directors. At the discretion of the Board of Directors, the date for this <br />meeting may be changed from time to time, but must be held annually. At such meetings, new members, if <br />any, of the Board of Directors shall be designated by the owners in accordance with the requirements of <br />t Section 6 of Article IV of these Bylaws. The owners may also transact such other business of the <br />~ Association as may properly come before them. <br />5. SPEC AT M~F'i'rlv[iS, It shall be the duty of the Chair to call a spacial meeting of the owners <br />~l as directed by resolution of the Boazd of Directors or if a petition signed by any owner is presented to the <br />J Secretary.
