( b) If any lien, charge, or civil liability would be incurred by reason of any such
<br />delay, Lessee nevertheless may contest the matter and delay compliance, provided that such delay would not
<br />~ subject Lessor to criminal liability or fine, and Lessee
<br />(c) Furnishes to Lessor security, reasonably satisfactory to Lessor, against any
<br />loss or injury by reason of such contest or delay, and
<br />~' (d) Prosecutes the contest with due dili ence.

<br />~ " 9.3 Lessor shall execute and deliver any appropriate papers that may be necessary or
<br />[ j proper to permit Lessee to contest the validity or application of any Legat Requirement, provided all the
<br />requirements of this section have been satisfied by Lessee and Lessor will incur no cost.
<br />~ Section 10. Repairs and Maintenance
<br />10.1 Throughout the Term, ixssee shall have no obligations to repair or maintain the
<br />Premises or any Improvements, except to the e~ctent necessary to comply with the Legal Requirements as set
<br />~ forth in Section 9 above.
<br />~ 10.2 • Lessor shall not be required to fumish to Lessee any facilities or services of any kind
<br />whatsoever during the Term, such as, but not limited to, water, steam heat, gas, hot water, electricity, light,
<br />Q and power. Lessor shall in no event be required to make any alterations, rebnildings, replacements,
<br />changes, additions, improvements, or repaus during the Term.
<br />10.3 Lessor assigns to Lessee, without recourse, such rights, if any, as Lessor may have
<br />~ against any parties causing damage to the Improvements on the Premises to sue for and recover amounts
<br />expended by Lessee as a result of such damage.
<br />Section 11. Alterations, Add~l3ons, and New Imprnvements ~
<br />~ The term Madifications nneans any demolition, improvement, alteration, change, or addition,
<br />of, in, or to all or any pazt` of the Premises or the Improvements. At any time during the Term and at
<br />Lessee's own cost and expense, I,essee may make or permit to be made any Modifications, provided there is
<br />~ no existing and unremedied c~efault on the pazt of Lessee, of which Lessee has received notice of default,
<br />under any of the terms, covenants, and conditions of this I.ease. All saivage materiai in connection with any
<br />Modification that Lessee is permitted to make shall belong to Lessee.
<br />~ Section 12. lytle to Imprnvcments '
<br />,~ Title to Improvements shall be and remain in Lessee until the expiration of the Term, unless
<br />tlus Lease is terminated sooner as provided. Upon such expiration or sooner termination, tifle to the
<br />Q Improvements shall automatically pass to, vest in, and belong to Lessor without further action on the part of
<br />either party and v~ithout cost or chazge to Lessor. During the Terni, Lessee shall be entided for all taxation
<br />.~purposes to claim cost recovery deductions and the like on the Improvements.
<br />Q Section 13. No Waste
<br />Lessee shall not do or suffer any waste or damage, disfigurement, or injury to the Premises,
<br />but Lessee shall have the right to demolish and remove any and all Improvements on the Premises.
<br />(; Section 14. Inspection and Access ~
<br />~.) 14.1 Lessee shall permit Lessor or the authorized representative of any of them to enter
<br />the Premises and the Improvements at all reasonable rimes during usual business hours for the purposes of
<br />inspecting the same and making any repairs or performing any work that Lessee has neglected or refused
<br />to make in accordance with the tern~s, covenants, and conditions of this L,ease. Nothing in this Lease shall
<br />~ imply any duty or obligation on the part of Lessor to do an such work or to
<br />Y make any Improvements of
<br />any kind whatscever to the Premises (including, but not limited to, repairs and other restoration work made
<br />() ~ necessary due to any fire, other casualty, or partial condemnation, urespective of the sufficiency or
<br />~ availability of any fire or other insurance proceeds, or any awazd in condemnation, which may be payable).
