Mr. Billy Wasson <br />November 3, 1998 <br />corporate trust accounting and bondholder record-keeping systems that produce all client <br />records. This access allows me to monitor and handle all daily transactions in the <br />accounts for which I am the administrator. In the event that the County wants to make <br />debt service payments to the Trustee by check, such payments can be delivered ar mailed <br />to my office for processing on the date of receipt, assuming a timely delivery of those <br />payments. Alternatively, of course, such payments can be made electronically or at one <br />of First Security Bank's Salem branches. The centralized trust operations staff in Salt <br />Lake City handles incoming and outgoing wire transfers, settlement of investments, <br />bondholder record-keeping and payments, among a variety of "back-office" functions. <br />However, all of these functions are performed at my direction, as administrator for my <br />accounts. <br />As Trustee and Paying Agent we would provide those services prescribed by the bond <br />documents. Typically, those services include, during the Acceptance phase, the review of <br />all sets of documents by our Corporate Trust department (conducted by myself as <br />Administrator and by the assigned attorney named above). Upon Acceptance, our duties <br />include the establishment of all accounts associated with the issue, the disbursement of <br />bond proceeds in accordance with the bond documents, the investment of all funds held <br />in each account in accordance with the bond documents, the maintenance of all required <br />records relating to the bond issue, and all other administrative activities associated with a <br />bond issue. These activities will continue throughout the entire period that the bonds are <br />outstanding. Consequently, close communications will be solicited and developed <br />between the bond administrator and the Marion County staff assigned to the issue. <br />As Paying Agent, First Security Bank, National Association would provide all services <br />necessary for that appointment. Our services as Registrar and Paying Agent include <br />maintaining registration records on our system, handling redemptions, if necessary, <br />providing audit confirmations as requested, paying interest and principal on each payment <br />date, and providing the billings far those interest and principal payments. <br />2. Exhibit A provides specific information about a selection of ten (10) financings, all for <br />Oregon clients and all under my administration, for which First Security Bank serves as <br />Trustee. <br />3. The Bond Trustee and Paying Agent's Initial Fee and First Year Annual <br />Administration Fee are billed immediately after the bond issue has closed. They include <br />the review of all sets of documents by our Corporate Trust Services team (in-house <br />counsel and administrator), the establishment of all accounts for the first year, and the <br />administration, investment, and disbursement of funds for these accounts during the first <br />year.
