ATTACHMENT A <br />(Revised 12/18/97) <br />All meetings shall be open to the public. The public shall participate <br />under the "Public Meetings Law." <br />A quorum of the Committee shall consist of a majority of all the members. <br />A quorum must be present for any business to be conducted. A majority <br />vote of those members present is needed to approve any <br />recommendation. No member may vote unless present. <br />The meetings shall be conducted under Robert's Rules of Order. <br />Regular meetings shall be scheduled at least bi-monthly, and will be held <br />at the SAMTD Headquarters Boardroom at 3140 Del Webb Avenue NE, <br />Salem, OR; or other place as designated by the District in consultation <br />with the Chairperson, and so advertised in conformance with applicable <br />laws. <br />All members are expected to attend the scheduled meetings. If a <br />member is unable to attend a scheduled meeting, the member must <br />contact the District or a Committee representative and let them know of <br />their absence at least 24 hours o~ one business day in advance, except <br />in cases of an emergency. A member who fails to notify the Committee <br />of their intended absence for two consecutive meetings or is absent more <br />than four meetings over a one year period will have his/her position <br />declared vacant. <br />Article 4 Election of Officers <br />Members of the Committee shall annually elect a Chairperson and vice- <br />chairperson in January, or at the first meeting thereafter. <br />The duties of the Chairperson are to preside at the meetings, act as the <br />official liaison between the Board of Directors and Committee, and <br />perform other duties assigned by the Board. The Chairperson, on behalf <br />of the Committee shall present reports to the Board of Directors that are <br />necessary to execute any and all of the responsibilities of the Committee. <br />The duties of the vice-president are to perform the duties of the Chair, in <br />the absence of the chairperson. The vice-chairperson shall perform <br />duties as assigned by the board. <br />Article 5 Committee Vacancies <br />When a vacancy occurs, the Board, by majority vote of its members at <br />any meeting, may appoint a new member to the committee. The Board <br />may select an appointee from amongst people expressing an interest in <br />such appointment, or form a call for applications for the position. <br />94 <br />
