ATTACHMENT B (Revised 12/18/97) The Board of Directors may choose to have the commissioners of Marion and Polk County submit names of individuals for consideration in filling terms as they become open in those areas. Committee members shall be appointed by the Board of Directors for a period of three years, commencing on January 1 of the year in which the member is appointed. Terms shall be set to overlap in their expiration date. A member may not serve more tiian two consecutive terms. The Board may elect to appoint people to fill unfilled terms, and such terms shall expire on the date of the expiration of the original term. In accordance with State statute, Committee members shall be appointed from amongst elderly or disabled users of transportation services, transportation providers, representatives of people who are elderly or disabled, or people who are elderly or disabled without access to transportation services. The actual composition of the Committee shall be the sole discretion of the Salem Transit Board of Directors. The Committee may recommend removal of one of its members to the Board of Directors by a vote of the majority of all its members. Such removal shall be for cause. All meetings shall be open to the public. The public shall participate under the provisions of Oregon's "Public Meetings Law." A quorum of the Committee shall consist of a majority of all the members. A quorum must be present for any business to be conducted. A majority vote of those members present is needed to approve any recommendation, except as otherwise provided herein. No member may vote unless present. The meetings shall be conducted under Robert's Rules of Order During the process of soliciting and evaluating applications, the Committee will meet on an as-needed basis to conduct its business. In addition, quarterly meetings shall be held to review the performance of providers and consider any reports or recommendations that need to be presented by the Committee to the District Board of Directors. Meetings shall be held at the SAMTD Headquarters Boardroom at 3140 Del Webb Ave. NE, Salem, OR; or other place as designated by the District in consultation with the Chairperson, and so advertised in conformance with applicable laws. If a member is unable to attend a scheduled meeting, the member must contact the District or a Committee represe~tative and let them know of their absence at least 24 hours or one business day in advance, except in cases of an emergency.
