ATTACHMENT B (Revised 12/18/97) one year period, will be reported to the SAMTD Board, and the Board shall declare that person's position va~ant. -- -- - Notwithstanding any provision to the contrary, members of the STF Advisory Committee shall serve at the pleasure of the Board, and may be removed with or without cause at any time, in the sole discretion of the Board. Article 4 Election of Officers Members of the Committee shall annually elect a Chair and vice-chair in the first meeting held in each calendar year. The duties of the Chair are to preside at the meetings, act as the official liaison between the Board of Directors and Committee, and perform other duties assigned by the Board. The Chair, on behalf of the Committee, shall present reports to the Board of Directors that are necessary to execute any and all of the responsibilities of the Committee. The duties of the vice-chair are to perform the duties of the Chair, in his or her absence. Article 5 Committee Vacancies When a vacancy occurs, the Board, by majority vote of its members at ~ any meeting, may appoint a new member to the committee. The Board may select an appointee from amongst people expressing an interest in such appointment, or from a call for applications for the position. Article 6 Amendments The SAMTD Board of Directors shall have the authority to amend these Bylaws at any regular Board Meeting. The Committee, through its Chairperson, can make recommendations to the SAMTD Board regarding amending the Bylaws that govern the Committee by two-thirds vote of all its members.
