<br />Page 30, Section 402. Does the Trustee have the obligation to disburse <br />funds from the Project Fund upon receipt of properly executed <br />Requisition Certificate? My concern is the question of cash flow, and the <br />ability of the county and transit to build the project, approve change <br />orders, and proceed with construction without delay. If the Trustee has <br />the authority to question requisitions, this can slow the project down. <br />And, it would have the effect of requiring the construction oversight of <br />the Trustee. <br />CLOSING MEMORANDUM <br />Page 2, Section III(1). The Resolution Number is 98-37R. <br />Page 2, Section IIZ(2) and (3). Who is preparing the Debt Advisory <br />Commission Forms? <br />Page 3, Section III(30). Billy is beinq asked to certify a lot, on behalf of <br />the <br />county. Earlier he e-mailed both of us that he would not sign documents <br />without the okay of ine and you. I can cover the county matters. We <br />have relied on you for the federal tax stuff, and for the choice of COPs <br />as tax exempt, lawful financing vehicles. This certificate contains a <br />qood deal of the stuff we rely on you to advise us about. Now the <br />certificate makes statements by the county , based on your advice, that <br />you are relying upon in rendering an opinion concerning arbitrage. This <br />is getting quite circular.
