DEFINITIONS <br />All terms used in this Certificate and not otherwise defined herein shall have the respective <br />meanings assigned thereto in the Financing and Trust Agreement dated as of December 1, 1998 <br />(the "Agreement") between the County and Norwest Bank Minnesota, N.A., as trustee (the <br />"Trustee"). <br />II.
