The words and phrases used in this Certificate have the same meanings as defined and used in <br />the Code and Regulations. <br />~B~ RESPONSIBLE OFFICER. The undersigned is an officer of the County who is charged, <br />with others, with responsibility for issuing the Certificates. <br />(C~ REASONABLE EXPECTATIONS. This Certificate is executed for the purpose, among <br />others, of establishing the reasonable expectations of the County regarding the use and application <br />of the Proceeds of the Certificates (i.e., the Sale Proceeds and the Investment Proceeds) and all <br />other Gross Proceeds of the Certificates, all as defined in Regulations § 1.148-1(b). <br />(n) BAS[S FoR CERTIFICATE. This Certificate is based on facts, estimates, and <br />circumstances in existence on the date of this Certificate, which is the date of issue of the <br />Certificates, and to the best knowledge, information, and belief of the undersigned, the <br />expectations set forth in this Certificate are reasonable. <br />SECTION 402. PURPOSE OF CERTIFICATES; CAPITAL EXPENDITURES. The Certificates <br />are being issued far the purpose of financing of the Courthouse Square Project. The County's <br />Share of the costs of the Courthouse Square Project to be financed out of the Proceeds of the <br />Certificates will constitute "capital expenditures" within the meaning of Treas. Regs. § 1.1 ~0-1(b). <br />SECTION 403. NOT PRIVATE ACTIVITY BONDS; PRIVATE USE PORTION OF THE COUNTt' <br />FACILITIES. The County hereby covenants and agrees that it will take all actions which are <br />necessary or appropriate in order to ensure that the proceeds of the Certificates and the County's <br />interest in the Courthouse Square Project are not used in any manner or by any person such that <br />the Certificates will be or become "private activity bonds" within the meaning of Section 141 of <br />the Code. The County hereby represents and warrants that no part of the County's portion of the <br />Courthouse Square Project will be used by any person other than a"governmental unit" (within <br />the meaning of Section 141(b)(6)(A)). <br />A portion of the County Facilities will be leased by the County to persons or entities who <br />are not state or local governments or organizations described in Code Section 501(c)(3) that are <br />exempt from federal income taxation pursuant to Code Section 501(a) (such portion of the County <br />Facilities being herein called the "Private Use Portion"). The balance of the County Facilities will <br />be owned and occupied by the County and used by the County in its governmental operations <br />(herein called the "County Use Portion"). The County Use Portion will consist of the following <br />(together with the common areas allocable thereto): <br />(1) 102,272 square feet of office space for use by County personnel; <br />(2) 2,712 square feet of a conference room to be used for Commission meeting <br />purposes; and <br />GENERAL AND TAX CERTIFICATE PAGE 4 <br />
