Ethics, the Oregon Conflict of Interest law and (to the same extent as if a Director of the Salem Area Mass Transit District) to the code of ethics adopted by the Salem Area Mass ~ansit District. Functions of the Committee: ~ The Committee shall consult with and advise the Courthouse Square Joint Coordinating Teaml (Coordinati.ng Team) and both Boards on matters referred to them relating to Courthouse Square Issues. "Courthouse Square Issues" shall mean matters relating to the Courthouse Square project budget, proformas, cash-flow ~ projections, project schedule, value engineering, const~uctability analysis, and, additionally, any other matters and issues relating to the financing, budgeting, and construction of the Courthouse Square project as may be clearly and explicitly described in writing by both Boards or the Coordinating Team. However, notwithstanciuig the foregoing, all political and public policy issues a.nd considerations shall remai.n the exclusive responsibility of the Boards. The Coordinating Team shall keep the Committee informed on matters relating to the Courthouse Square Issues. The Committee shall provide its advioe, on matters referred to it, in writing (Committee meeti.ng minutes shall meet this requirement). On issues for which the Committee and Coordinating Team do not concur, the respective Boards shall be briefed on the issues involved and shall give direction to the Coordinating Team and inform the Committee of their action on~ those issues. The Committee may communicate with the Project Coordinators and/or the Board Lia.isons of both Boazds at any time regarding matters relating to the Courthouse Square Issues, and shall make reports to the respective Boards as they deem appropriate. Meetings of the Committee: The Committee shall meet monthly with the Coordinating Team or as otherwise needed, at the call of either Boazd, the Coordinating Team, or at the call of any ~frnzr members of the Committee. A quorum {~j of the Committee must be present at any meeting to consider any matter before the Committee and provide advice. Term: It is the intention of both Boards that the Committee be dissolved no later than substantial completion of construction on Courthouse Square. 1 The Ch2 Joint Coordinating Team is a committee composed of key internal ataff members from Marian County and Salem Area 1~ansit; Melvi.n Mark Co., and Board Liaisons who shall meet regularly to collaborate on key technical and policy issues regazding Courthouse Square. ~ Ch2 Citizen Advisory Committee Charter OS/O1/98 2
