SEP. lE. ly~~ ?~-'~ 19A~1 N0.~1~ P.5i19 <br />~ 1,17 ~°Disbursement Account Funding Request" shaIl mean a request in a form a roved and <br />PP <br />prepared by the Revlew Committee and delivered to the County and the Transit District setting forth <br />the amount required to be deposited by each such recipient into the Disbursement Account <br />(including but not Iimited to sny additionaI cbarge or credit as a result of an adjustment to a Party's <br />Respecti~e Share pursuant to Section 4,5(i~) herao~ for the purpose of paying approved Project <br />costs. <br />1.18 `~Effective Date" shall mean the date of this Agreement. <br />1.19 "Environmental Notice" shall mean any summons, citation, order, claim, litigation, <br />invesagation, proceedin~, judgment, letter or ocher communication, written or oral, issued by the <br />Oregon Department of Envuonmental Quality, che United States Environmental Protection Agency, <br />any other F~deral, state or local agency or authority or any other go~ernmental having jurisdiction <br />with respect co the Project. <br />1.20 "Environinental Standards" shall mean all federal state and lxal environmental laws and <br />ordinances and aIl rules and regulations promulgated thereunder, whether eurrently in effect or <br />enacted or amended from time to ame in the future including but not limited to RCRA (defined <br />herein), CERCLA (defined herein), the Safe Drinking Water Act, the Clean Air Act, the Clean Water <br />Act, and the Toxic Substances Control Act, and also including but not limited to any guidelines, levels <br />and standards currently in effect or enacted or amended from time to time in the future by the <br />applicable federal, stake or local regulatory authority for addressing any contamination of any sort in <br />soils. <br />1.21 "Finsil Completion" means: <br />~ (i) The construction of d~e Project Tmprovements is Substantially Complete in conformance <br />with th~ Final Plans and Specifications; <br />{ii) The Project Tmprovements have undergone a building commissioning process satisfactory <br />to the R~view committee', <br />(iii) The City has issued the Certificate of Occupancy with respect to the Project <br />Improvements; and <br />(iv) All pending cla.ims against and disputes with the Project manager, the Dernolition <br />Conuactor, the Architect, the General Contractor, all subcontractors and all suppliers and <br />materialmen have been finally resolved and paid. <br />1.22 `~Final Construction Plans and Specifieations" sha11 mean all ~lans and specifications <br />r~quired to complete the Project Improvem~nts pursua.nt to the terms of this Agreement, which will <br />have been approved by the Parties in accordance with the provisions of this Agreement and the <br />~-- a~propriate City agencies. <br />1.23 "General Construction Budget" means the line item budget for die work to be pecformed <br />for the Guaranteed Maximum Price under the General Consuuction Contract. <br />1.24 "Generat Construction Contract" means tlie contract approved by the Review Committee as <br />provided in Section 4.5(iii) hereof and providing for the construction of tbo Public Improvemenu at <br />a price not to exc~ed the Guarante~d Maximum Price, to Ue entered into among the Parties and the <br />Gen~ral Conuactor, <br />1.25 "General Contractor" shall mean <br />~~ Courthouse Square <br />Developmenc Agreement <br />Page - 4 <br />
