maintenance of the Project as Owner shall direct. <br />SECTION 10 ASSIGNMENT <br />This Agreement may not be assigned by Developer without the prior written consent of <br />Owner to such assignment. Any transfer or sale of Developer's business entity or majority <br />ownership interest therein shall be deemed to constitute an assignment of this Agreement subject <br />to this section. <br />SECTION 11 FTA ADDENDUM <br />This Project is financed, in part, through a grant from the Federal Transit Administration <br />to the transit district. The total amount of federal funds to be expended for compensation payable <br />to the architect under this Agreement is estimated to be <br />Dollars ($ <br />which is % of <br />the total compensation payable. As a consequence of the federal participation in this Project. <br />The federal requirements aze attached as an Addendum to this Agreement, and the Developer <br />agrees that, in connection with work on this Project contemplated by this Agreement, the <br />Developer will comply with the federal requirements in the Addendum. The CERTIFICAT`ION <br />REGARDING LOBBYING must be executed before this Agreement is considered a valid and <br />binding agreement.
