The principal <br />components of the 1998 Certificates are also subject to mandatory prepayment in~l whole or in part <br />in the event that: <br />(1) the County Facilities, or any portion thereof, shall have been da~naged, destroyed <br />or condemned; I <br />(2) the County shall fail to elect (by written notice delivered to the rustee within six <br />months from the date of such damage, destruction or condemnation) to rep 'r or replace such <br />damaged, destroyed or condemned County Facilities; and ~ <br />(3) the Net Proceeds realized by the County from any insuran e payment or a <br />condemnation award paid in respect of such the damage, destruction or con emnation of the <br />County Facilities equal or exceed the sum of $1,000,000.00. ~ <br />Any prepayment pursuant to this Section 204(C) shall: <br />(i) take place on the earliest date for which the requisite. notice of p~epayment can be <br />given; <br />(ii) be in an amount equal to the Net Proceeds realized by the ounty from any <br />insurance or from a condemnation award paid in respect of such the dama e, destruction or <br />condemnation of the County Facilities, but rounded down to the nearest in egral multiple of <br />$5,000; and I <br />(iii) be at a prepayment price equal to 100% of the principal <br />plus accrued and unpaid interest thereon to the date fixed for pre~ <br />to be prepaid <br />FINANCING AND TRUST AGREEMENT <br />PA~E 16 <br />
