1 (b) To grant to or confer upon the Trustee, for the benefit of the Owners of the <br />2 Certificates or any series thereof, any additional rights, remedies, powers or authority that <br />3 may lawfillly be granted to or conferred upon the Trustee; <br />a <br />5~ (c) To grant or pledge any additional security to the Trustee for the benefit of the <br />6 Owners of the Certificates or any series thereof, or to surrender any right, power or privilege <br />7 reserved to or conferred upon the County by the terms of this Agreement or any <br />8 Supplemental Agreement; <br />9 <br />10 (d) To modify, amend or supplement the Agreement, the Agreement or any indenture <br />~ ~ supplemental thereto in such manner as to permit the qualification thereof under the Trust <br />t? Abreement Act of 1939 or any similar federal statute then in effect ar to permit the <br />13 qualification of the Certificates or any series thereof for sale under the securities laws of any <br />1~t of the states of the United States; <br />l~ <br />16 (e) To provide any of the Tax Covenants not provided by this Agreement or to <br />l 7 modify in any respect any Tax Covenant so as to conform to the then applicable requirements <br />i8 of the Code or to delete or restrict the applicability of any Tax Covenant which, under the <br />i 9 Code as then in effect, is no longer applicable to all or any Certificates issued or to be issued <br />?o hereunder; <br />~~ <br />?? (~ To make any other change which, in the judgment of the Trustee, actinb in <br />23 reliance upon an opinion of Counsel acceptable to the County and the Trustee, does not have <br />2~t a material adverse affect on the ri~hts of or security granted to the Owners of the Certificates <br />?~ or any Credit Provider affected thereby; <br />26 <br />27 (g) To authorize, in accordance with and subject to the terms, provisions and <br />?g limitations of Section 208 hereof, the issuance of any series of Additional Certiticates and, <br />?9 in connection therewith, to specify and determine all matters and things necessary or <br />3o appropriate in connection therewith, and also any other matters and things relative to such <br />31 Additional Certificates which are not contrary to or inconsistent with the provisions of this <br />32 Am-eement as theretofore in effect, including any amendments, modifications or supplements <br />33 to this Agreement necessary in order to enable the County to issue such Additional <br />34 Certificates utilizing any financing structure or financial product not expressly contemplated <br />35 by the terms of this Agreement so long as such amendments, modifications or supplements <br />36 do not materially adversely affect the rights of the Owners of the Certificates then <br />37 Outstanding; <br />38 <br />39 (h) To make any change required by a Rating Agency as a precondition to the <br />~to issuance of a rating on any Series of Certificates which, in the opinion of the Trustee, is not <br />~- to the prejudice of the Owners of the Certificates of any other Series; <br />~l2 <br />FINANCING AND TRUST ACREEMENT P,~GE 4~ <br />
